The PrimeOne City software and services is owned and operated by PrimeOrigins, LLC ("PrimeOrigins"). PrimeOrigins grants you non-exclusive limited license to use the services provided through our web site and services in accordance with these Terms of Service (the "license"). This license is a legal agreement between you and PrimeOrigins, LLC that implies you have read and accepted our terms of service. This agreement applies to all users ("Users" Or "System Users" Or "Accounts" Or "Members" Or "Visitors") of the "Site" or "Service" or "Software", including users who are also contributors of contact, information, and other materials or services on the site. You will not hold PrimeOrigins liable or responsible for others’ content, actions or inactions. You agree that we have no control over and do not guarantee the legality, safety, the veracity or accuracy of content, listings, or ability to perform the listed objective.
Conduct
You agree under no circumstance the PrimeOne City system be used to transmit money for payment of illegal goods or services. This includes, but is not limited to, illegal substances, payment for illegal acts, and any type of money laundering or pyramid schemes. You agree in the event you are proven to be defrauding or falsify your identity to PrimeOrigins or other Users, legal action will be taken against you. PrimeOrigins does not tolerate any illegal, immoral, pornographic, or drug-related motives for raising money and will suspend any account accused of such actions and holds the right to refund users that contributed. PrimeOrigins holds the right to refuse or discontinue offering services to anyone based on moral standards or any other reason.
Terms of Service/Software Use
PrimeOrigins grants you the right to use our software/services, but you are not allowed to distribute the software or services the way we do or modify them in any way or sell them without our approval. When using one of our free software applications, you will not be allowed to modify or remove the copyright notice or water mark.
No warranty is given either implied or expressed. Users use the software/services entirely at their own risk. PrimeOrigins is not liable for any consequential loss howsoever arising caused by use of the PrimeOne City services or other associated software. This includes, but is not limited to, damage to hardware and/or software, loss of data, loss of business or any other financial loss. PrimeOrigins does not seek to exclude liability where prohibited by law.
If you want to provide a link to PrimeOne City on your website, you may do so. However, PrimeOrigins holds the right to request the removal of any link directed to our site according to our discretion.
Tipping Buckets and Money Transfers
PrimeOne City is a software/service for fund-raising and money transfers. PrimeOne City allows users to create listings ("tipping buckets") and raise funds from other users and request money transfers. PrimeOrigins shall not be liable for your interactions with any organizations and/or individuals found on or through the Service. This includes, but is not limited to, any terms, conditions, warranties or representations associated with listings on PrimeOne City. PrimeOrigins is not responsible for any damage or loss incurred as a result of any such dealings. All dealings are solely between you and such organizations and/or individuals. PrimeOrigins is under no obligation to become involved in disputes between Members. In the event of a dispute, you release PrimeOrigins, its officers, employees, agents and successors in rights from claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our Service.
Though PrimeOrigins cannot be held liable for the actions of a Member, Members are nevertheless wholly responsible for fulfilling obligations both implied and stated in any listing they create. PrimeOrigins reserves the right to cancel a listing and refund all associated members' payments at any time for any reason.
PrimeOrigins makes no guarantees regarding the performance of integrated third party systems. Additionally, because of occasional failures of some credit cards, PrimeOrigins cannot guarantee the full receipt of the targeted amount. Members may initiate refunds at their own discretion. PrimeOrigins is not responsible for issuing refunds for funds that have been collected by Members.
Payments and Fees
Signing up with PrimeOne City is free. However, we do charge fees for certain services which we may change from time to time. Changes to fees are effective after we provide you with notice by posting the changes on this Site. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the Site.
You are responsible for paying all fees associated with your use of the Site. In the event a listing is removed from the Service for violating the Terms of Service, all fees paid will be non-refundable, unless in its sole discretion PrimeOrigins determines that a refund is appropriate.
Personal payments are offered with no fee applied under certain conditions. PayPal controls these conditions and PrimeOrigins is not liable for any fees applied to personal payments. It is your responsiblity to ensure that your PayPal account is setup properly to process free personal payments in a country where it is allowed. As a PayPal account holder, you must also abide by PayPal's User Agreement in your respective country.
The Software performs estimates on the PayPal fee before the actual payment is processed. PrimeOrigins does not and cannot guarantee 100% accuracy of this estimate as there are rare occasions when the estimate is slightly off.
Modifications
PrimeOrigins may change, suspend, or discontinue all or any part of the Software/Services it provides at any time, with or without reason. You understand and comply that the operation of the Software/Services may from time to time encounter technical or other problems and PrimeOrigins is not responsible to you or others for any such interruptions, errors or problems or a discontinuance of Service. PrimeOrigins has no obligation to fix errors or problems in a specific amount of time or continue software development and releasing new versions of the Software/Services.
Unauthorized Use
You may not place any of our software applications, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent from our company.
Assignability
You have not the right to assign, transfer or sub-license this license to any third party without prior written consent from PrimeOrigins.
Ownership
All available services/software presented or sold on our website (*.PrimeOne City.com) are property of PrimeOrigins. You may not claim intellectual or exclusive rights to any of our services/software modified or unmodified. Our services/software are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our services/software.
PrimeOne City Member Intellectual Property Rights
The Service provides you with the ability upload your content to the Site. You hereby grant to PrimeOrigins the worldwide, non-exclusive, royalty-free, right to (and to allow others acting on its behalf to) use, host, display, and otherwise perform the Service on your behalf and use and publish, and to permit others to use and publish, the name(s), trademarks, likenesses, and personal and biographical materials of you and the members of your group, in connection with the provision of the Service. To enable PrimeOrigins to host your content pursuant to the above provisions, you hereby grant to PrimeOrigins the worldwide, non-exclusive, perpetual, royalty-free, sublicensable and transferable right to use, reproduce, copy, and display your trademarks, service marks, slogans, logos or similar proprietary rights solely in connection with the Service.
Spamming And Illegal Activity
You agree to be solely responsible for the contents of your transmissions through our services/software. You agree not to use the services/software for illegal purposes or for the transmission of material that is unlawful, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable, contains viruses, or that infringes or may infringe upon the intellectual property or other rights of another. You agree not to use the services for the transmission of "junk mail", "spam", "chain letters", or unsolicited mass distribution of email. PrimeOrigins reserves the right to fine you and terminate your account if PrimeOrigins believes that you have used the services/software for any illegal or unauthorized activity.

The Service permits you to link to other websites or resources on the Internet, and other websites or resources may contain links to the Site. When you access third party websites, you do so at your own risk. These other websites are not under PrimeOrigins's control, and you acknowledge that PrimeOrigins is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites or resources. The inclusion of any such link does not imply endorsement by PrimeOrigins or any association with its operators. You further acknowledge and agree that PrimeOrigins shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such website or resource.
Refund Policy
PrimeOne City members accept the responsibility to provide refunds to other members at their own discretion. PrimeOrigins will NOT be held liable for refunds or lack thereof. Members that tip/donate/contribute/give money to another PrimeOne City member MUST request any and all refunds directly from the member that received the money. For users to receive a reimbursement of the PrimeOne City convenience fee, the refund must be requested within seven (7) days from the date of processing the payment that is being refunded.
